Directory Terms of Service

1. Introduction

These Directory Terms of Service (“Directory Terms”) govern participation in and use of the Rankley Agency Directory (the “Directory”), a feature of the Rankley platform that allows businesses to discover and connect with marketing agencies and independent professionals (“Agencies”).

These Directory Terms supplement Rankley’s general Terms of Service. In the event of a conflict, these Directory Terms apply to Directory-related activities.

By submitting, claiming, maintaining, or interacting with a Directory listing, you agree to these Directory Terms.


2. Directory Purpose & Scope

The Directory is intended to:

  • Help businesses discover agencies and professionals offering marketing and local SEO services
  • Allow Agencies to present information about their services
  • Facilitate introductions between businesses and Agencies

Rankley does not act as an employer, agent, broker, or guarantor of any Agency.


3. Agency Listings

Listing Accuracy

Agencies are responsible for ensuring that all listing information is accurate, current, and not misleading, including:

  • Business name and contact details
  • Services offered
  • Service areas
  • Pricing representations (if any)
  • Certifications, case studies, or claims

Rankley may update, suspend, or remove listings that are inaccurate, incomplete, or misleading.


Vetting & Verification

Rankley may offer optional vetting, verification, or “Rankley Verified” designations.

  • Verification does not constitute endorsement, certification of results, or a guarantee of service quality.
  • Rankley reserves the right to modify verification criteria or revoke verification status at any time.

Rankley may offer paid enhancements such as:

  • Featured listings
  • Sponsored placements
  • Promotional banners or highlights

Paid placement does not affect Rankley’s neutrality regarding Agency performance or outcomes.

Featured or sponsored listings will be identified as such where required by law or policy.


5. Business–Agency Relationships

Any engagement, contract, or relationship formed between a business and an Agency is solely between those parties.

Rankley:

  • Does not participate in negotiations, contracts, or payment between businesses and Agencies
  • Does not guarantee leads, work volume, or outcomes
  • Is not responsible for disputes, performance issues, or damages arising from Agency services

Businesses are encouraged to conduct their own due diligence before engaging an Agency.


6. Introductions, Messaging & Leads

Rankley may facilitate introductions or messaging between businesses and Agencies.

  • Rankley does not guarantee the quantity or quality of leads
  • Agencies may not spam, misrepresent services, or misuse contact information
  • Businesses may opt out of communications at any time

Misuse of leads or messaging may result in suspension or removal from the Directory.


7. Access to Rankley Accounts & Locations

Where supported, businesses may choose to grant Agencies limited access to their Rankley account, locations, or reports.

  • Access permissions are controlled by the business
  • Agencies may only use granted access for authorized purposes
  • Access may be revoked by the business at any time

Unauthorized use of account access is grounds for immediate suspension or termination.


8. Prohibited Conduct

Agencies and businesses using the Directory agree not to:

  • Misrepresent identity, qualifications, or experience
  • Post false, deceptive, or defamatory content
  • Circumvent Rankley’s introduction or access systems
  • Harvest or misuse contact information
  • Attempt to manipulate listing rankings or reviews
  • Use the Directory for unlawful or abusive purposes

Rankley may take enforcement action, including removal or suspension, for violations.


9. Intellectual Property & Listing Content

Agencies retain ownership of their listing content.

By submitting listing content, Agencies grant Rankley a non-exclusive, worldwide, royalty-free license to display, promote, and distribute the content as part of the Directory and Rankley Services.


10. Suspension & Removal

Rankley may suspend or remove a Directory listing, with or without notice, if:

  • These Directory Terms are violated
  • Listing information is misleading or outdated
  • Complaints indicate abuse or misconduct
  • Required fees are unpaid (for paid placements)
  • Continued inclusion poses legal or reputational risk

Rankley is not obligated to provide refunds for removed listings unless required by law.


11. Disclaimers

THE DIRECTORY IS PROVIDED “AS IS” AND “AS AVAILABLE.”

RANKLEY DOES NOT:

  • ENDORSE OR GUARANTEE ANY AGENCY
  • GUARANTEE RESULTS, LEADS, OR OUTCOMES
  • WARRANT THAT DIRECTORY INFORMATION IS COMPLETE OR ERROR-FREE

USE OF THE DIRECTORY IS AT YOUR OWN RISK.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKLEY SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM:

  • AGENCY SERVICES OR PERFORMANCE
  • BUSINESS–AGENCY RELATIONSHIPS
  • DIRECTORY LISTING CONTENT
  • INTRODUCTIONS OR COMMUNICATIONS

RANKLEY’S TOTAL LIABILITY RELATED TO THE DIRECTORY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO RANKLEY FOR DIRECTORY FEATURES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


13. Changes to the Directory or These Terms

Rankley may modify or discontinue the Directory at any time.

We may update these Directory Terms periodically. Continued participation in the Directory after changes take effect constitutes acceptance of the revised terms.


14. Governing Law

These Directory Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
